Terms of Service

The conditions for using the services provided by GenoBase, Co., Ltd.

Effective date: October 19, 2026

Article 1 (Purpose)

These Terms set out the rights, obligations and responsibilities of GenoBase, Co., Ltd. (the “Company”) and its users in connection with the bioinformatics platform service and the analysis services (the “Services”) provided by the Company.

Article 2 (Definitions)

  1. “Company” means GenoBase, Co., Ltd.
  2. “User” means an institution, laboratory or individual that has concluded a service agreement with the Company under these Terms, and the members registered by that institution.
  3. “Bioinformatics platform service” means the research platform (AI agents, research projects, paper library, lab notebook, sequence tools, JupyterLab, data sharing and more) installed and operated on a server dedicated to the User’s laboratory and provided at a flat rate for one year at a time.
  4. “Analysis service” means custom work in which the Company analyses genome, omics or other data at the User’s request and delivers the results.
  5. “User data” means data, files and records uploaded to or created in the Services by the User.

Article 3 (Effect and amendment of the Terms)

  1. These Terms take effect when posted on the Services’ website.
  2. The Company may amend these Terms within the limits of applicable law. Amendments are announced on the website, with the effective date and the reason, at least 7 days before they take effect; amendments unfavourable to Users are announced at least 30 days in advance and notified individually, for example by email.
  3. A User who does not agree to the amended Terms may terminate the service agreement.

Article 4 (Formation of the service agreement)

The service agreement is formed when, following the User’s enquiry, the Company provides a quotation and both parties agree on the terms (scope, period and fee) and sign the agreement, or when the User pays the fee.

Article 5 (Provision of the Services)

  1. Service period: one year from activation; the platform is activated within one week of order confirmation. The invoice is issued and paid on the activation date, so the period never exceeds one year from payment.
  2. For the bioinformatics platform service, the Company sets up a server dedicated to the User’s laboratory, installs and operates the platform, and provides accounts for the User’s members, updates, maintenance and email support.
  3. The scope, schedule and deliverables of an analysis service are set out in the individual agreement or quotation.
  4. The Company may suspend the Services temporarily for unavoidable reasons such as maintenance or replacement of equipment, failures, natural disasters, power outages or network failures; planned suspensions are announced in advance.

Article 6 (Fees and payment)

  1. The bioinformatics platform service is provided at a flat annual fee. The platform is activated after a quotation and order confirmation, and an invoice carrying a Toss Payments card-payment link (Link Pay) is issued and paid on the activation date.
  2. Fees (VAT included, one-year plan): Basic KRW 4,800,000; GPU KRW 6,000,000; High-end KRW 8,800,000; High-end GPU KRW 10,000,000.
  3. Payment is by credit card or bank transfer.
  4. Charges of external AI providers (Anthropic, OpenAI) for using the AI features are billed separately by those providers through the account or lab key the User connects, and are not included in the Company’s fees.

Article 7 (Withdrawal and refunds)

Refunds follow the Company’s Refund Policy. In summary:

  • Bioinformatics platform service: a full refund if requested within 7 days of payment. After 7 days, the monthly fee is the annual fee paid ÷ 12, any month used even for one day counts as a used month, and the annual fee minus the fees for the months used is refunded (amounts below one won discarded).
  • Analysis services: cannot be refunded.

Article 8 (Obligations of the User)

  1. The User keeps accounts and passwords secure and does not share a member’s account with others.
  2. The User uses the Services in accordance with applicable laws (including personal data protection, bioethics and copyright) and secures the rights and consents required for the data it uploads.
  3. The User does not resell or sublet the Services to third parties without the Company’s prior written consent, and does not interfere with the operation of the Services.

Article 9 (Obligations of the Company)

The Company endeavours to provide the Services reliably in accordance with applicable laws and these Terms and maintains security measures to protect User data and personal information. Personal information is processed under the Privacy Policy.

Article 10 (Ownership and handling of data)

  1. User data belongs to the User. The Company does not use User data for any purpose other than providing and maintaining the Services.
  2. The User may download its data at any time while using the Services.
  3. When the agreement ends, the Company allows a period of 30 days for the User to retrieve its data, after which User data and accounts are deleted. Records that must be kept by law are kept for the period required.

Article 11 (Notice on AI features)

  1. The AI agents of the Services use the external AI the User connects (Claude by Anthropic or Codex by OpenAI). When a User asks the AI a question, only the content that question needs is sent to that provider under the account or lab key the User connected, and the provider’s terms apply to that processing.
  2. Analyses, documents and answers generated by the AI are for reference; the researcher reviews them and is responsible for decisions on their use. The Company does not warrant the accuracy of AI output or its fitness for a particular purpose.

Article 12 (Termination)

  1. The User may request termination of the agreement at any time in writing or by email; refunds follow Article 7.
  2. The Company may terminate the agreement if the User materially breaches these Terms and fails to remedy the breach within a reasonable period after being asked to do so.

Article 13 (Damages and disclaimer)

  1. If the Company or the User causes damage to the other by breaching these Terms, it compensates for that damage.
  2. The Company is not liable for damage caused by force majeure such as natural disasters, by reasons attributable to the User, or by failures of third-party services such as external AI providers, except for damage caused by the Company’s wilful misconduct or gross negligence.
  3. Unless caused by the Company’s wilful misconduct or gross negligence, the Company’s liability for damages is limited to the fees the User paid to the Company for the contract year in which the damage occurred. This clause does not apply to liability that cannot be limited under applicable law.

Article 14 (Dispute resolution)

These Terms are governed by the laws of the Republic of Korea. The parties will try to resolve disputes about the Services by consultation; failing that, the court having jurisdiction over the Company’s head office (Changwon District Court, Jinju Branch) has jurisdiction.

Addendum

These Terms take effect on October 19, 2026.
